Terms and Conditions (Space Owners)

1. Introduction #

This Terms and Conditions Agreement (“Agreement”) governs the relationship between Workspace Philippines (“Platform”) and Space Owners (“Owners”) who list and rent out their spaces through the Platform. By listing a space, the Owner agrees to be bound by this Agreement and any applicable policies.

2. Definitions #

  • Platform: Workspace Philippines, the online marketplace where Owners can list their spaces for rental purposes.
  • Owner: The individual or entity that lists their space on the Platform.
  • Guest/s: Individuals or businesses who book spaces listed on the Platform.

3. Listing Spaces #

  • Eligibility: Owners must provide accurate and complete information about their spaces, including photos, descriptions, amenities, and availability.
  • Compliance: Owners must comply with all relevant laws and regulations, including zoning, safety, and building codes.
  • Accuracy of Information: Owners are responsible for maintaining up-to-date listings, including accurate pricing, availability, and space details.
  • Inclusive Pricing: Owners must ensure that all listed prices are inclusive of VAT.

4. Booking and Payment #

  • Booking Requests: The Platform allows Guest/s to make reservations directly. Owners can choose to enable instant booking for their listings, allowing reservations to be confirmed immediately without requiring prior approval. For listings without instant booking enabled, all bookings are subject to approval by the Owner.
  • Payment Processing: Workspace Philippines processes all payments, deducting a service fee before remitting the balance to the Owner. Payments will be disbursed to Owners following the Guest’s checkout, subject to any applicable payout schedule. Payments are processed 5-7 working days after the booking date (or scheduled usage).
  • Cancellation and Refunds: Cancellation policies should be clearly outlined by the Owner in each listing. The Platform’s standard refund policy will apply unless the Owner specifies otherwise. Workspace Philippines reserves the right to override refund policies in cases of fraud or misuse.

5. Owner Responsibilities #

  • Space Maintenance: Owners must ensure that their spaces are well-maintained, clean, and available as described.
  • Guests Safety: Owners are responsible for the safety and security of Guests while they are using the space. Owners must maintain adequate insurance for liability and property damage.
  • Respectful Conduct: Owners must respect Guests’ privacy and avoid unnecessary interruptions during the rental period.
  • Tax Compliance: Owners are responsible for filing applicable taxes and issuing official receipts or invoices to their guests.

6. Payouts and Charges #

  • Booking income: Owner will receive 100% of their booking income, with secure payouts processed 5-7 days after the booking. Workspace Philippines applies a 7.5% processing or admin fee on top of the total booking amount, which is paid by the Guest.
  • Payout Schedule: Payouts are processed 5-7 working days after the booking date (or scheduled usage).
  • Taxes: Owners are responsible for all applicable taxes related to income earned through the Platform.

7. Insurance and Liability #

  • Insurance Requirement: Owners are responsible for obtaining any necessary insurance coverage for their spaces. Workspace Philippines recommends Owners carry liability and property insurance.
  • Indemnification: Owners agree to indemnify and hold harmless Workspace Philippines from any claims or damages arising out of or related to the Owner’s space, including claims from Guests.
  • Limit of Liability: Workspace Philippines is not liable for any indirect, incidental, or consequential damages, including lost revenue or profits, resulting from any issues related to bookings, space availability, or cancellations.

8. Use of Images #

By listing a space on the Platform, the Owner grants Workspace Philippines the right to use images published on the Platform for promotional materials, including but not limited to the website, advertisements, social media, videos, and other marketing channels.

9. Dispute Resolution #

  • Dispute Handling: Disputes should be resolved directly between the Space Owner and the Guest/s. Workspace Philippines may cooperate by providing booking information and/or data from the platform.
  • Mediation: In case of disputes between Owners and Guest/s, Workspace Philippines may offer mediation services but is not obligated to resolve disputes.
  • Legal Jurisdiction: This Agreement shall be governed by the laws of the Philippines, and any disputes arising from it shall be settled in the courts of the Philippines.

10. Termination of Agreement #

  • Voluntary Termination: Owners may choose to terminate their relationship with Workspace Philippines by removing their listings from the Platform.
  • Platform Termination: Workspace Philippines reserves the right to suspend or terminate an Owner’s account for any reason, including but not limited to fraudulent activities, repeated complaints from Guests, or failure to comply with these Terms and Conditions.

11. Amendments to the Agreement #

  • Changes: Workspace Philippines reserves the right to modify or amend these Terms and Conditions at any time. Owners will be notified of significant changes, and continued use of the Platform will constitute acceptance of any modifications.

12. Miscellaneous #

  • Entire Agreement: This Agreement constitutes the entire agreement between Workspace Philippines and the Owner.
  • Severability: If any provision of this Agreement is found to be unenforceable, the remainder of the Agreement shall remain in effect.
  • Assignment: Owners may not assign their rights or obligations under this Agreement without prior written consent from Workspace Philippines.

Acceptance #

By listing a space on Workspace Philippines, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
